Committees play a critical role in helping boards manage complexity and focus attention on areas of heightened risk and responsibility.

When committees function well, they strengthen oversight and improve decision quality and board focus. When they do not, gaps can emerge in oversight, role clarity and how effectively issues are escalated and reported back to the board.

Committee effectiveness reviews help boards step back and ask whether committees are effective in supporting the board and have the right capability, leadership and reporting. Importantly, recommendations for improvement are also captured.

Most boards begin with a light-touch review of committee effectiveness, delivered through a short Committee Effectiveness Module added to the end of the board survey.

This approach provides a practical way to assess committee performance without the time or disruption of a standalone review, and allows committees to be viewed through the lens of the full board.

The Committee Effectiveness Module is appended to your chosen board survey and completed at the same time.
It focuses on:

• Whether each committee has the appropriate skills and capability

• How effectively the committee adds value to the board

• The effectiveness of committee chair leadership

• The quality and usefulness of recommendations and reporting to the board

• In addition, respondents are invited to comment on each committee’s main areas of value-add and any suggestions for improvement.

The module is completed by all directors, and by executives who complete the board survey (unless you advise otherwise). This provides a balanced view of committee effectiveness from both board and management perspectives.

For each committee, a Committee Effectiveness Scorecard is prepared.

Scorecards are typically provided to the relevant committee chair, shared with the board, and used as the basis for discussion between the committee chair and their committee. The emphasis is on constructive reflection and improvement.

Boards value the clarity and discipline a light-touch review provides.

It enables boards to understand where committees are adding strong value, where reporting or ways of working could be improved, and whether committee capability and leadership remain fit for purpose. It also helps boards identify when a committee may benefit from a deeper, more targeted review.

Light-touch committee reviews are commonly used as part of a regular governance cycle, often alongside a board effectiveness review.

Boards also use them following changes in committee membership or leadership, or where there is a desire to sharpen committee reporting and interaction with the board.

In some circumstances, boards require deeper assurance or more targeted insight.
